TERMS AND CONDITIONS OF SALE

These Terms and Conditions ("Terms") govern all quotations, orders, and sales made by Panel Wizard Supply Company ("Panel Wizard", "Seller", "we", "us") to the customer ("Buyer", "you"). By placing an order, you agree to be bound by these Terms.

1. QUOTATIONS AND PRICING

1.1. All quotations are valid for thirty (30) calendar days from the date of issue unless otherwise stated in writing.

1.2. Prices are based on material costs at the time of quotation. Panel Wizard reserves the right to adjust pricing if material costs change by more than 5% between quotation and order placement. Buyer will be notified of any price adjustments prior to production.

1.3. Pricing does not include sales tax unless explicitly stated. Buyer is responsible for providing a valid tax exemption certificate at the time of order if claiming tax-exempt status.

1.4. Quoted prices are in US Dollars (USD).

2. ORDERS AND ACCEPTANCE

2.1. Orders are not binding until accepted by Panel Wizard in writing or by commencement of production.

2.2. A deposit of twenty-five percent (25%) of the total order value is required to confirm the order and secure a production slot. The remaining balance is due prior to shipment unless credit terms have been established in writing.

2.3. Insulated metal panels are custom-manufactured to order. Once production begins, orders cannot be canceled or modified without written consent from Panel Wizard.

2.4. Panel Wizard reserves the right to decline any order at its sole discretion.

3. PAYMENT TERMS

3.1. Payment of the 25% deposit is due upon order confirmation.

3.2. Unless prior credit arrangements have been made in writing, the remaining 75% balance is due in full before shipment (Net 0).

3.3. For approved credit accounts, payment terms are Net 30 from date of invoice. A late payment fee of 1.5% per month (18% annually) will be applied to any amounts past due.

3.4. Panel Wizard accepts payment via credit card, ACH bank transfer, wire transfer, or company check. A 3% processing fee applies to credit card payments on balances exceeding $10,000.

3.5. All payments are non-refundable once production has commenced, except as provided in Section 7 (Warranty).

4. DELIVERY AND FREIGHT

4.1. Delivery dates are estimates and not guaranteed. Panel Wizard will make commercially reasonable efforts to meet estimated delivery dates but shall not be liable for delays caused by circumstances beyond our control.

4.2. Freight charges are calculated based on distance from the manufacturing facility and are included in the quotation.

4.3. Title and risk of loss transfer to Buyer at the point of delivery (FOB Destination). Buyer is responsible for providing adequate access for delivery trucks and for unloading panels upon arrival.

4.4. Buyer must inspect all materials upon delivery. Any visible damage must be noted on the delivery receipt and reported to Panel Wizard within forty-eight (48) hours of delivery. Failure to report damage within this timeframe constitutes acceptance of the goods as delivered.

4.5. Buyer is responsible for proper storage of panels upon receipt. Panels must be stored in a clean, dry, level area and protected from weather, moisture, and physical damage per manufacturer installation guidelines.

5. MANUFACTURING TOLERANCES

5.1. Insulated metal panels are manufactured to industry-standard tolerances. Panel lengths may vary by +/- 1/4 inch. Width tolerances are per manufacturer specifications.

5.2. Color variations between production runs are inherent to the manufacturing process and are not grounds for rejection. Buyer should order sufficient material for the project in a single order to minimize color variation.

5.3. Minor cosmetic imperfections including oil canning, surface waviness, and minor scratches that do not affect structural integrity or weathertightness are inherent to metal panel products and are not grounds for rejection or warranty claims.

6. CHANGES AND CANCELLATIONS

6.1. Order changes requested after production has begun may incur additional charges and extended lead times.

6.2. Cancellations made before production begins are subject to a restocking/administrative fee of 10% of the order value, deducted from the deposit refund.

6.3. Cancellations made after production has begun are non-refundable. Buyer is responsible for the full order amount.

6.4. Panels are custom-manufactured and are non-returnable unless defective as described in Section 7.

7. WARRANTY

7.1. Panel Wizard passes through all manufacturer warranties to the Buyer. Warranty coverage is provided directly by the panel manufacturer and is subject to the manufacturer's warranty terms, conditions, and limitations.

7.2. Standard manufacturer warranties include:
  - Workmanship Warranty: Coverage against manufacturing defects
  - Finish Warranty: Coverage against excessive fading, chalking, or peeling of factory-applied coatings (duration varies by finish type: PVDF, SMP, PE)

7.3. Warranty claims must be submitted in writing to Panel Wizard, who will coordinate with the manufacturer on the Buyer's behalf.

7.4. Warranty does not cover damage resulting from: improper installation, modification, neglect, abuse, exposure to chemicals or corrosive environments not specified at time of order, acts of nature, or normal wear and tear.

8. LIMITATION OF LIABILITY

8.1. Panel Wizard's total liability for any claim arising from or related to an order shall not exceed the purchase price of the specific products giving rise to the claim.

8.2. In no event shall Panel Wizard be liable for indirect, incidental, consequential, special, or punitive damages including but not limited to lost profits, business interruption, or costs of substitute materials.

8.3. Panel Wizard is a distributor and does not manufacture the panels. All technical specifications, load ratings, fire ratings, and structural data are provided by the manufacturer. Buyer is solely responsible for ensuring that the panels specified are suitable and sufficient for their intended application, and for compliance with all applicable building codes and regulations.

9. FORCE MAJEURE

9.1. Panel Wizard shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, government actions, raw material shortages, transportation disruptions, labor disputes, or acts of war or terrorism.

10. DISPUTE RESOLUTION

10.1. These Terms shall be governed by the laws of the State of New Mexico.

10.2. Any disputes arising from these Terms shall first be submitted to good-faith mediation. If mediation fails, disputes shall be resolved by binding arbitration in the State of New Mexico.

11. GENERAL

11.1. These Terms constitute the entire agreement between Panel Wizard and Buyer regarding the sale of products. No oral or written statements outside of these Terms shall modify or supplement this agreement unless agreed to in writing by both parties.

11.2. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

11.3. Panel Wizard reserves the right to update these Terms at any time. The version in effect at the time of order placement shall govern that transaction.
